What’s the Role –
The Legal Counsel Contracting & Procurement (CP) and Wells sits within the global Legal Services Projects & Technology and Intellectual Property (LSPT & IP) CP, Wells and IT legal team. The Legal Counsel CP, Wells & IT will provide professional, timely, cost effective and practical legal advice and support to the C&P, Wells and IT organisations, primarily in the United States and across the Shell value chain (upstream, wells, integrated gas, new energy, trading, downstream, chemicals, and global commercial).
The Shell Legal operating model has been reviewed to ensure that Legal is set up for the future so it can support Shell’s evolving strategy and to be more affordable and deliver according to Legal’s supply led model and focusing on and prioritising high value and risk matters. Legal has a critical role in the Shell Group but there is an opportunity to simplify and to be more agile.
Ensure that legal considerations, including mitigation of legal risks identified, are taken into account in operations, planning activities and contracting
Monitor relevant legal developments and communicate these to the business
Engage and collaborate with Shell lawyers globally across the function
Commitment to and focus on continuous improvement and simplification of legal guidance and self-help materials for CP, Wells and IT through the application of IT and Digital tools and role modelling of behavior and mindset required of a supply-led legal organization
Ensure that legal risks are identified, appropriate alternative structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, at all times consistent with professional standards, legal obligations, the Shell General Business Principles and the Shell Control Framework
Legal activities are expected to include: (i) advice with respect to proposed commercial strategies; (ii) advising on legal rights and obligations under existing contractual arrangements; (iii) the negotiation and drafting of contracts and other documentation; and (iv) resolution of legal and business problems encountered in the promotion of business interests and the protection of its assets and reputation
Protect Shell’s interests and enhance Shell’s reputation and brand by providing sound legal advice, assisting with negotiations and drafting legal agreements
Deliver according to Legal’s supply led model and focusing on and prioritising high value and risk matters
The CP, Wells and IT legal team is global and requires lawyers to be flexible and support and work with other members of the team, legal departments and more than one business. The team is fast-moving and demanding, with high expectations of its lawyers and professional support staff generally. Speed, accuracy of response and ability to work independently are essential, as are good client relations.
The position will report to the Managing Counsel CP & Wells. Special challenges include working in a virtual team and with global, highly matrix organised functional groups across business lines.

Skills & Requirements
What we need from you –
Must have legal authorization to work in the US on a full-time basis for anyone other than current employer.
Law degree from U.S. accredited institution and in good standing in Texas or another state in the United States (or ability to become immediately eligible to be admitted to the State Bar of Texas).
Minimum three (3) years’ experience in legal counsel involved in commercial transactions work.
Incisive grasp of legal issues, demonstrated learner mindset and capability to expand knowledge in relevant areas of law
Excellent analytical, communication and interpersonal skills
Ability to work with both internal and external stakeholders with diverse external background
Excellent business acumen, risk assessment ability and ability to balance competing interests of businesses at varied stages of their evolution
The ability to work in a less well-defined legal environment with clients who need pragmatic legal advice
Astute risk and reputational management skills, and requires the ability to deal with, prioritize and manage multiple tasks and projects
Resilience to keep a calm and balanced approach and maintain a robust stance in respect of allocation of risk for the Shell Group, while balancing that with the commercial and strategic drivers
Ability to clearly explain legal risks, develop sound mitigation strategies and find acceptable commercial solutions
