Job Description:
Our client is a dynamic Independent Power Producer (IPP) driving Africa’s clean energy transition through innovative and scalable energy solutions. They are seeking a Legal Counsel to support the legal team in project development, financing, and operational matters. Working closely with the Head of Legal and internal stakeholders, the successful candidate will provide legal support across renewable energy, corporate, and project finance transactions, including the review and management of PPAs, EPC and O&M agreements, joint venture agreements, NDAs, share purchase agreements, financing documents, and legal due diligence processes, while also monitoring regulatory developments and supporting compliance with data privacy, anti-bribery, anti-corruption, and corporate governance requirements.
Responsibilities:
- Draft and review commercial and legal agreements, including NDAs, SPAs, JDAs, PPAs, EPC, O&M, and joint venture contracts.
- Provide legal and commercial support throughout contract negotiation and execution processes.
- Ensure compliance with contractual, legal, and regulatory requirements across business activities.Deliver legal advice and guidance on corporate, commercial, and renewable energy matters.
- Identify legal risks, conduct research, and develop risk mitigation strategies and legal opinions.
- Monitor legislative, regulatory, and case law developments affecting the renewable energy sector.
- Support project finance transactions and coordinate legal workstreams through financial close.
- Manage legal due diligence processes, data rooms, and engagement with internal and external stakeholders.
Requirements: Qualification and Skill
- Admitted Attorney of the High Court of South Africa with a completed LLB and 3–5 years’ post-qualification experience.
- Minimum 2–3 years’ experience in commercial law, with project finance and renewable energy experience advantageous.
- Strong contract drafting, negotiation, and commercial legal advisory skills.
- Proven ability to prioritize workloads, manage multiple tasks, and meet deadlines in fast-paced environments.
- Experience managing internal and external stakeholders, resources, and legal workstreams.
- Strong analytical and problem-solving abilities, with experience addressing complex corporate legal matters
