Position Description:

The incumbent is responsible for the company’s secretarial and business integrity functions for the company and its subsidiaries. The incumbent will also be responsible for providing support in the drafting and review of all contracts and relevant transaction documents as well as litigation management.

Major Areas of Responsibility:
  • Ensuring that organizational legal issues are addressed promptly and
  • Knowledge of all relevant & current
  • Providing accurate and practical legal/compliance advice at all
  • Ensuring that the Group does not incur liabilities/penalties due to non-compliance with relevant laws or regulations.
  • Developing relevant registers including compliance and risk registers and ensuring that the registers are up-to-date and communicated to the relevant user
  • Ensuring that the organization always operates within the ambit of the
  • Drafting, reviewing, and updating Group
  • Monitoring compliance with Group policies and
  • Monitoring and ensuring the Group’s compliance with ESG
  • Developing effective work methods to manage workloads and improve productivity while prioritizing key assignments.
  • Ensuring that annual returns, board resolutions SEC, FRSC, NCDMB, and other corporate filings are filed with relevant regulators as at when due.
  • Attending and representing the organization as delegated, meetings with government parastatals.
Key Metrics:
  • Providing legal advice and support on a wide range of legal issues affecting the operations of the organization.
  • Ensure prompt filing of returns and other secretarial documents at the Corporate Affairs Commission (CAC) and other relevant regulators.
  • Develop and/or review the organization’s Policies
  • Provide a full suite of company secretarial services required for the effective functioning of the ARADEL Board.
  • Provide legal advice to the ARADEL Board on the legal implications of proposed policies, decisions, and actions (in areas including, but not limited to litigation, regulatory compliance, and similar matters).
  • Counsel business functions and project teams in conducting due diligence on all transactions that portend legal, commercial, and or reputational risks.
  • Participated in the investigation of violations of ARADEL corporate governance and compliance policies, procedures, and standards.
  • Provide strategic direction to the management team on corporate governance and compliance matters.
  • Ensure that statutory meetings are held in strict compliance with the provisions of the Companies and Allied Matters Act 2020
  • Develop and/or review the risk matrix for the company’s business
  • Interface with regulatory agencies and
  • Support with the drafting and review of contracts and transaction
Minimum Requirements:
  • Education to degree level or
  • A legal practitioner with a minimum of ten years experience in a similar role or relevant legal field.
  • A member of the Institute of Chartered Secretaries and Administrators or similar organizations is an added advantage.
