Job Role Summary

 

Exxon Mobil Corporation (“ExxonMobil”) is seeking to hire an experienced transactional attorney for its legal team in Houston, Texas. This attorney would work with a team of experienced lawyers to support ExxonMobil’s Product Solutions and Low Carbon Solutions businesses on a wide variety of transactional, commercial, regulatory and operational matters. ExxonMobil’s Product Solutions division is responsible for operating chemicals and fuels & lubricant manufacturing facilities and marketing the respective products. Created in 2021, ExxonMobil’s Low Carbon Solutions business is focused on commercializing lower-emission business opportunities in carbon capture and storage, hydrogen and lower-emission fuels, and is currently progressing numerous projects and transactions throughout the world.

Primary Job Functions

 

  • Provide day-to-day legal support for the Product Solutions and Low Carbon Solutions business units, developing relationships with key business leaders to drive positive business results
  • Support and lead a wide range of commercial transactions, including joint ventures, acquisitions, divestments, and other strategic transactions
  • Draft, review and negotiate commercial agreements, including: M&A, joint venture and partnership agreements; customer and supplier agreements; EPC, project financing, and other project-related agreements; and goods and services contracts
  • Conduct and coordinate research into a variety of legal issues, providing legal analysis and counsel to business leaders that anticipates and helps mitigate legal risks
  • Work closely with other teams within the ExxonMobil Law Department and other ExxonMobil functional groups (e.g., tax, regulatory, and finance functions)
  • Interface with outside counsel on significant transactions, regulatory matters, and disputes

Job Requirements

 

  • J.D. from an accredited law school 
  • Strong college and law school record (top 1/3 of class preferred) 
  • Licensed to practice law in at least one state (Texas bar membership strongly preferred) 
  • Strong transactional background 
  • Strong research and writing skills 
  • Strong interpersonal and communication skills
  • Minimum of three (3) years of relevant legal experience, at least partially with a major law firm, corporate legal department, or government agency
  • High ethical standards and integrity 
  • Strong analytical skills and ability to exercise sound business judgment 
  • Ability and desire to work independently and as a member of an integrated team 
  • Able and willing to travel domestically and internationally in support of client transactions

Preferred Knowledge/Experience/Skills

 

  • Relevant transactional experience in the energy industry 
  • Relevant transactional experience on energy transition matters, such as carbon capture and storage, hydrogen, and renewable energy projects, or prior experience supporting ESG (Environmental, Social, and Governance) matters
  • Experience drafting and negotiating agreements for complex transactions, including M&A transactions, joint ventures, investments, and other strategic transactions
  • Project finance experience on major energy or infrastructure projects
  • Experience managing legal compliance issues (e.g., antitrust, anti-corruption and trade law matters) 
  • Demonstrated record of leadership and initiative 
  • Foreign language proficiency is a plus
  • Record of pro bono experience
